1. Agreement
By creating an account or using Veirox ("Service"), you agree to these Terms. If you accept on behalf of an organization, you represent that you have authority to bind that organization. The Service is operated by Veirox Contributors ("we", "us").
2. Your account
- You must be at least 18 years old (or the legal age in your jurisdiction).
- You are responsible for maintaining the confidentiality of your credentials and API keys.
- You are responsible for activity under your account, including agent actions you authorize.
- Notify us immediately of any unauthorized use: security@veirox.com.
3. Plans, billing, trials
- Free tier requires no credit card and is subject to documented quotas.
- Paid plans (Pro, Business, Enterprise) are billed monthly or annually in advance via Stripe.
- Trial periods (where offered) auto-convert to the corresponding paid plan unless cancelled before trial end.
- Prices are listed at /pricing. We may revise pricing with 30 days' notice; existing customers' renewals are billed at the rate in effect at signup until renewal.
- Refunds: pro-rata for downgrades; no refunds for cancellation mid-period (you keep service until period end).
- Failed payments: we'll retry for 7 days, notify you, then suspend the account. 30-day data retention before purge.
4. Acceptable use
The full Acceptable Use Policy governs what you may not do with the Service. Summary: no illegal content, no abuse, no unauthorized access, no rate-limit evasion, no resale without permission.
5. Intellectual property
- Your data is yours. You retain ownership of all content you submit (prompts, files, agent outputs).
- Our service is ours. We retain all rights in the Veirox software, brand, and infrastructure. Public-facing client artifacts (CLI, Veirox connector, marketing) are licensed under Apache 2.0 — see each repo's LICENSE.
- Feedback you provide may be used to improve the product; you grant us a perpetual, non-exclusive license to use it.
- Veirox is a trademark of Veirox Contributors. You may not use it commercially without permission.
6. Your data
Treatment of your data is governed by the Privacy Policy and, for business customers, the Data Processing Addendum.
- You can export your data at any time via the API or CLI (
veirox governance dsr create --request-type export). - You can delete your account; deletion is permanent and irreversible after a 7-day grace period.
- We don't train AI models on your data without explicit opt-in.
7. AI agent behaviour
Veirox uses Claude (Anthropic) to generate agent responses and actions. You acknowledge:
- AI output may be incorrect, outdated, or surprising. You retain responsibility for reviewing and approving agent actions.
- The Service exposes "must-always" / "must-never" approval rules and human-in-the-loop checkpoints. Configure them.
- Connector-tunnelled commands run in your infrastructure under your authorization; you are responsible for the policy / denylist configuration.
- We are not liable for agent actions that you approved or authorized.
8. Availability and SLA
We target the uptime stated in the SLA for paid plans. Free tier is best-effort, no commitment. Status: status.veirox.com (when launched).
9. Termination
- You may terminate at any time from
/console/<org>/settings/billing. - We may suspend or terminate for material breach of these Terms or the AUP, with reasonable notice except for emergencies (security, legal compulsion).
- Upon termination: 30-day data retention, then permanent deletion (configurable).
10. Warranty disclaimer
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We don't warrant uninterrupted or error-free operation.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY UNDER THESE TERMS IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR USD $100, WHICHEVER IS GREATER. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.
12. Indemnification
You agree to indemnify us against claims arising from your misuse of the Service, your violation of these Terms or the AUP, or your infringement of third-party rights.
13. Governing law
These Terms are governed by the laws of the jurisdiction stated in the customer's MSA or, absent an MSA, the laws applicable to the Veirox operating entity. Disputes are resolved in the courts of that jurisdiction.
14. Changes
We may update these Terms with 30 days' notice for material changes (announced via email to org owners). Continued use after the effective date constitutes acceptance.
